General terms and conditions of sale

Clause No. 1: Subject

The general terms and conditions of sale described below detail the rights and obligations of the company EUROJADIS Sarl within the framework of the sale of the following goods:

Any item of industry or manufacture 

Any transaction carried out with SARL EUROJADIS therefore implies the buyer's unconditional acceptance of these general terms and conditions of sale.

       

Clause No. 2: Price

The prices of the goods sold are those in effect on the day the order is placed. They are quoted in euros and calculated including all taxes. Consequently, for VAT-excluded sales, they will be reduced by the VAT rate applicable on the day of the order. 

The company EUROJADIS Sarl reserves the right to modify its prices at any time. However, it commits to invoicing the ordered goods at the prices indicated at the time of order registration.

       

Clause No. 3: Discount

No discount will be granted in case of early payment.

       

Clause No. 4: Payment Terms

Order payments are made: 

  •                 Or by check;
  •                 Or by bank card;
  •                 Or by interbank transfer,
  •                 Or via the PayPal site
  •                 Either via 3xCB payment

When placing the order, the buyer must pay the full total amount of the invoice, unless a specific prior agreement has been negotiated.

"Information related to your order paid with the 3xCB solution at
distance are subject to automated data processing for which the controller is
FIA-NET S.A. This automated data processing aims to determine
of an insurance level for a transaction and to fight against fraud with payment methods
of payment and notably against bank card fraud.
FIA-NET S.A. and the merchant from whom you make your purchase are the recipients
data related to your order. Failure to transmit the data related to
related to your order prevents the completion and analysis of your transaction.
The occurrence of a non-payment due to fraudulent use of a bank card
or another means of payment will result in the registration of the data of the
order associated with the unpaid amount within a payment incident file set up
work by FIA-NET S.A. An irregular declaration or an anomaly may also
be subject to specific processing.
In accordance with the Data Protection Act of January 6, 1978, you have, at any
at any time, a right of access, rectification, and deletion of all your
personal data recorded by FIA-NET by writing, by mail and
proving your identity, to FIA-NET – IT and Privacy Service – Processing

Clause No. 5: Retention of Title Clause

EUROJADIS Sarl retains ownership of the goods sold until full payment of the price, principal and accessories included. As such, if the buyer undergoes reorganization or judicial liquidation, EUROJADIS Sarl reserves the right to claim, within the collective procedure, the sold and unpaid goods.

       

Clause No. 6: Delivery

Delivery is made: 

  •                 Or by direct delivery of the goods to the buyer;
  •                 Or by sending a notice of availability in store to the attention of the buyer;
  •                 Either at the place indicated by the buyer on the order form.

The delivery time indicated when placing the order is given for information only and is not guaranteed in any way.

As a result, any reasonable delay in the delivery of products shall not entitle the buyer to: 

  •                 The awarding of damages;
  •                 Order cancellation.

The risk of transport is entirely borne by the buyer. 

In case of missing or damaged goods during transport, the buyer must make all necessary reservations on the order form upon receipt of said goods. These reservations must also be confirmed in writing within three days following delivery, by registered mail with acknowledgment of receipt.

VERY IMPORTANT WARNING: FAILURE TO COMPLY WITH THESE INSTRUCTIONS ENGAGES   

YOUR CUSTOMER RESPONSIBILITY. 
Even if the package appears visually in good condition, open the package in front of the driver and carefully check the condition of the goods.   
Do not sign the carrier's delivery note in haste, as any claim will then be impossible.
If you notice any anomaly, immediately make reservations on the carrier's delivery note and confirm them by registered letter within 3 days excluding public holidays.   
(Art. L.133.3 of the Commercial Code, former art. 105)  
Reservations must be made in a precise and detailed manner.   
ESPECIALLY NEVER MAKE ANY OBSERVATION ON THE CONDITION OF THE PACKAGING, under penalty of rejection of the procedure by the carrier's insurance, even on the insistent advice or threats of the driver.   
NEVER USE THE PHRASE "subject to unpacking," which has no legal value.  
In case of non-compliance with these instructions, the transport warranty will not apply. NO repair or exchange will be possible and the cost of the damage will be entirely borne by the recipient. 

       

Clause No. 7: Returns

Returns are accepted within a period of 14 working days from the day after receipt of the item. Return costs are the responsibility of the sender unless negotiated with the seller.

These costs may be reimbursed if the seller's liability is engaged.

Items must be returned in their original condition, in their original packaging, and with their labels.

The seller undertakes to refund the customer within 14 days following the receipt of the returned package at the after-sales service unless justified delay. (EUROJADIS After-Sales Service – Puech Cambau – Roquevidal – 81470)

The buyer must provide proof of shipment of the returned goods.

Exception: the use of gift vouchers makes cash refunds impossible.

 

Clause No. 8: Force majeure

The liability of the company EUROJADIS Sarl cannot be invoked if the non-performance or delay in the performance of one of its obligations described in these general terms and conditions of sale results from a case of force majeure. As such, force majeure means any external, unforeseeable, and irresistible event within the meaning of Article 1148 of the Civil Code.

      

Clause No. 9: Competent court

Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to French law.

Failing an amicable resolution, the dispute will be brought before the Commercial Court of Toulouse (Haute Garonne).
